SERVICE CENTER OPERATOR AGREEMENT

This Agreement, entered into by and between

NEW LIFE UNIVERSAL NEHEMIAH CORPORATION, a corporation duly organized and registered under the laws of the Philippines with address at Corner McArthur and Olongapo Gapan Road, Dolores, City of San Fernando, Pampanga, represented wherein by its President/ CEO PASTOR ARTURO S. CANTOS and hereinafter referred to as New Life

And

______________________________________________________________, of legal age, single/ married and a resident of ____________________________________________________________ and hereinafter referred to as Operator this ___________ of ________, 2009.

WITNESSETH

WHEREAS, New Life is a networking company engaged in the sale and distribution of health and wellness and other consumer products through independent business contractors;

WHEREAS, to broaden its distribution network, New Life has adopted a program to appoint key distributors in different areas of the country as Operators of its Service Centers;

WHEREAS, Applicant has indicated the desire to become a Service Center Operator and New Life has favorably considered such application;

NOW, THEREFORE, for and in consideration of the foregoing premises, New Life hereby appoints the Applicant as a company Service Center Operator under the following terms and conditions:

  1. 1. Eligibility as Operator

1.1  The Operator must be a good moral character with no derogatory records

in the files of police and other law enforcement agencies;

1.2  The Operator must be financially capable of paying the required cash

( P350,000.00 – three hundred fifty thousand pesos ) for the value of

products given by New Life;

1.3  The Operator or his/her appointed manager must attend the required

trainings to be given by  New Life.

  1. 2. Setting Up the Service Center

2.1  Operator shall set up the physical facilities for the service center including

the seminar room, selling and product storage area of at least 50 square

meters preferably situated in a building with relatively heavy people

traffic and accessible by mass transportation;

2.2  The Service Center layout and general public appearance shall be in

accordance with guidelines and specifications which New Life may lay

down to ensure a uniform and consistent ambiance for its Service Centers

nationwide. New Life shall provide corporate signage for the Service

Center;

2.3  Operator shall ensure the availability of a telephone line, internet,

computer and other equipment needed for conducting business such as

television, dvd/cd player, bulletin boards etc.;

2.4 Operator shall secure all the necessary permits such as Brgy. Clearance, DTI,

Mayor’s Permit, Local Taxes, etc.

  1. 3. Operating Guidelines

3.1  Operator shall receive and process product orders in accordance with

standard procedures prescribed and using only authorized forms provided

by New Life;

3.2  Totals and breakdowns of sales shall be reported daily/weekly by Operator

either through fax or e-mail, including a copy of the bank deposit slip

corresponding to the total sales for the day/week. Hard copies of orders

processed and served shall be forwarded to New Life on the next working

day following the end of each week for encoding in New Life’s central

files;

3.3 Service Center shall operate according to the schedules given by New Life.

3.4 Service Center is not allowed to engage in any direct selling or networking

company or any form of business to secure the standards and quality of New

Life.

  1. 4. Benefits of a Service Center

4.1 Service Center is entitled on the following benefits:

4.1.1. P200.00 outright commission for every entry of P4, 999.00 purchased

directly from the Service Center.

4.1.2. P150.00 outright commission for every entry of P4, 999.00 purchased

By a Mobile Stockiest.

4.1.3. And 10% overriding commission for every repeat sales & Leadership

Training Fees.

4.1.4. Subsidy of 50% from his/her monthly office rental if he/she

accumulated at least P1,200,000.00 on his/her monthly repeat sales.

4.1.5. Other Benefits:

4.1.5.1. Free one time Team Building Seminar (1 Head)

4.1.5.2. Free Computer Literacy Program

4.1.5.3. Free Managerial Training

4.1.5.4. Free Leadership Training

4.1.5.5. Free Center’s Back Office Account worth P100,000.00 pesos.

4.2. As an additional income to sustain the expenses of the Service Center,

He/she is also given a minimal percentage in selling of the following

company paraphernalia’s :

4.2.1. Brochures (marketing plan, product)

4.2.2. Calling cards

4.2.3. Tarpaulins

4.2.4. Clear book

4.2.5. CD’s etc.

4.2.6. Application Forms

4.2.7. T-shirts, jackets,

4.2.8. Mugs

4.2.9. Caps etc.

  1. 6. Territorial and boundaries of Operations

6.1 New Life is the one who will identify the territory and boundaries of the

Service Center. It will depend on the total population of the whole territory.

  1. 7. Audit

5.1  New Life shall conduct stock inventory counts and cash audits of

Operator’s business transactions at any time by giving the latter advance

notice of the schedule/s of such counts and / or audits;

  1. 8. Termination of Contract

6.1  New Life may terminate this agreement at anytime for any violation by the

Operator Policies, rules and regulations governing the operation of service

centers; Operator may terminate the same by giving New Life thirty days

notice; In the event of any termination.
